1. Acceptance of Terms
By accessing or using the ReferU2 website, platform, tools, integrations, training materials, or services, you agree to be bound by these Terms and Conditions. If you do not agree, you must stop using the platform immediately.
These Terms apply to all users, including visitors, free plan users, paid plan users, and organisations accessing the platform for business use.
2. Business Use Only
ReferU2 is designed for business to business use. You confirm that you are using the platform for business purposes and not as a consumer.
3. About ReferU2
ReferU2 Pty Ltd provides a referral marketing and partner engagement platform with business tools that include:
- Profile creation and management
- Business referral workflows and partner opportunity management
- Access to the Referral Marketing Formula training content
- Integrations with third party services, including Microsoft, Google, CRM platforms and API connected SaaS systems
- Free and paid subscription tiers
- Analytics, reporting and communication tools for referral performance
4. Privacy
Your use of the platform is also governed by the ReferU2 Privacy Policy located at:
By using the platform, you confirm that you have reviewed and accepted the Privacy Policy.
5. Subscription Plans and Billing
ReferU2 offers free and paid subscription tiers. Paid plans are billed through Stripe, with ReferU2 reserving the right to introduce additional payment gateways.
5.1 Payment Terms
- Prices are in USD unless stated otherwise.
- Subscription fees are billed in advance on a recurring basis.
- Taxes may apply depending on your jurisdiction.
- You are responsible for providing accurate billing and contact details.
5.2 Cancellations
- You may cancel a paid plan at any time through your account dashboard.
- Paid plans require a minimum 30 day notice period for cancellation.
- No pro rata refunds are provided unless required by law.
5.3 Upgrades and Downgrades
- Upgrades take effect immediately and you will be charged the difference.
- Downgrades take effect at the start of the next billing period.
6. User Accounts
You are responsible for keeping your account secure. You must not share login credentials or allow unauthorised access. ReferU2 may suspend or terminate accounts where security concerns arise.
7. Acceptable Use
You agree not to:
- Use the platform for unlawful or harmful activities
- Upload viruses, malicious code or attempt unauthorised access
- Use automated systems to scrape or extract data
- Misrepresent your identity or business
- Interfere with platform performance or security
- Publish or distribute content that is defamatory, obscene or unlawful
ReferU2 may suspend or terminate accounts for misuse, non payment or breach of these Terms without notice.
8. User Generated Content
Users may upload, publish or submit business information, logos, referral data, partner information and communication material.
You grant ReferU2 a non exclusive, royalty free, worldwide licence to use, host, store, reproduce, modify and display this content only for the purpose of operating and improving the platform.
ReferU2 may remove content that violates these Terms.
You confirm you own or have rights to all content you submit.
9. Intellectual Property
The ReferU2 platform, codebase, design, interfaces, branding and all related materials are owned exclusively by ReferU2 Pty Ltd.
The Referral Marketing Formula is owned by Referral Marketing Ideas and used by ReferU2 under licence.
You must not copy, reproduce, resell, reverse engineer or create derivative works of any ReferU2 IP.
All rights not expressly granted are reserved.
10. Integrations and Third Party Services
Users may connect third party tools, including Microsoft, Google, CRM systems and API connected SaaS platforms.
ReferU2 is not responsible for:
- third party availability or performance
- changes or outages in external platforms
- data handling by third party services
- issues caused by integrations you authorise
Use of third party services is subject to their respective terms.
11. Availability and Changes
The platform is provided on an as available basis. ReferU2 does not guarantee uninterrupted service, error free performance, availability of features or specific business outcomes.
Features may be changed, added or removed at any time.
Early Access Notice
Some features may be in beta, early release or testing phases. These may change without notice and may not function reliably. By using early access features, you accept these risks.
12. Disclaimers
To the maximum extent permitted by law:
- ReferU2 does not guarantee the generation of leads, referrals, revenue or business outcomes
- The platform is provided as is and as available
- ReferU2 excludes all warranties, whether express, implied or statutory
- Use of the platform is at your own risk
If implied warranties cannot be excluded, ReferU2 limits them to the minimum extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by law:
- ReferU2 is not liable for any indirect, consequential, incidental or special damages
- ReferU2's total liability for any claim is limited to the amount you paid in the preceding 12 months
- ReferU2 is not liable for lost profits, lost data or loss of business reputation
Nothing in these Terms limits liability that cannot be limited under Australian law.
14. Termination
ReferU2 may suspend or terminate your account if you:
- breach these Terms
- fail to pay subscription fees
- misuse the platform
- create a security, legal or operational risk
Upon termination, your access is removed and your data may be deleted.
15. Governing Law
These Terms are governed by the laws of Queensland, Australia.
You agree that any disputes will be resolved exclusively in Queensland courts, after an initial attempt at mediation conducted in Queensland unless otherwise agreed.
16. Changes to These Terms
ReferU2 may update these Terms at any time. Continued use of the platform after changes are published indicates acceptance.
